The⠀Corporate⠀Governance⠀Manager is⠀responsible⠀for⠀ensuring⠀that an⠀organization⠀operates⠀in⠀compliance⠀with all⠀applicable⠀regulations,⠀laws, and⠀ethical⠀standards.⠀This role⠀involves⠀developing,⠀implementing,⠀and⠀overseeing⠀policies⠀and⠀procedures⠀to uphold⠀the⠀highest⠀standards⠀of⠀corporate⠀governance.

Job Responsibilities:

  • Policy⠀Development⠀and⠀Implementation:
  • Develop,⠀review,⠀and update⠀corporate⠀governance⠀policies⠀and⠀procedures.
  • Implement⠀and⠀communicate⠀policies⠀across the⠀organization.

Board Support and Communication:

  • Assist in⠀the⠀preparation⠀of board⠀meetings,⠀including⠀agenda⠀creation,⠀materials⠀distribution,⠀and⠀minutes⠀recording.
  • Facilitate⠀communication⠀between⠀board⠀members⠀and⠀executive⠀leadership.

Stakeholder Engagement:

  • Interact⠀with⠀stakeholders,⠀including⠀shareholders,⠀regulators,⠀and⠀institutional⠀investors.
  • Address⠀inquiries⠀and⠀concerns⠀related to⠀corporate⠀governance⠀practices.

Risk Management:

  • Identify⠀and assess⠀corporate⠀governance⠀risks and⠀develop⠀strategies⠀to⠀mitigate⠀them.
  • Collaborate⠀with other⠀departments⠀to⠀integrate⠀risk⠀management⠀into⠀overall⠀corporate⠀strategy.

Ethical Standards and Code of Conduct:

  • Establish⠀and⠀maintain a⠀code of⠀conduct⠀and⠀ethical⠀standards⠀for⠀employees⠀and⠀leadership.
  • Conduct⠀periodic⠀training⠀on ethical⠀practices.

Internal Audits and Assessments:

  • Conduct⠀internal⠀audits to⠀evaluate⠀adherence⠀to⠀corporate⠀governance⠀policies.
  • Develop⠀corrective⠀action⠀plans as⠀needed.

Legal Liaison:

  • Collaborate⠀with legal⠀counsel on⠀corporate⠀governance⠀matters,⠀including⠀mergers,⠀acquisitions,⠀and⠀regulatory⠀filings.
  • Ensure⠀legal⠀compliance⠀in all⠀corporate⠀activities.

Key Performance Indicators (KPIs):

  • Compliance⠀Rate:⠀Percentage⠀of⠀compliance⠀with⠀relevant⠀laws and⠀regulations.
  • Ethical⠀Incident⠀Rate:⠀Number of⠀reported⠀ethical⠀incidents⠀compared⠀to total⠀employees.
  • Board⠀Effectiveness:⠀Evaluation⠀of board⠀performance⠀based on⠀set⠀criteria.
  • Stakeholder⠀Satisfaction⠀Score:⠀Feedback⠀from⠀stakeholders⠀regarding⠀governance⠀practices.
  • Risk⠀Mitigation⠀Effectiveness:⠀Measurement⠀of risk⠀reduction⠀strategies.
  • Policy⠀Implementation⠀Rate:⠀Percentage⠀of⠀policies⠀effectively⠀implemented.

Requirements:

  • Bachelors⠀degree in⠀Business⠀Administration,⠀Law,⠀Finance,⠀or a⠀related⠀field⠀(Masters⠀degree⠀preferred).
  • Professional⠀certification⠀in⠀corporate⠀governance,⠀compliance,⠀or related⠀areas⠀(e.g.,⠀CGP, CCGP,⠀CCEP).
  • Proven⠀experience⠀in⠀corporate⠀governance,⠀compliance,⠀or legal⠀roles.
  • In-depth⠀knowledge⠀of⠀relevant⠀laws and⠀regulations.
  • Excellent⠀communication⠀and⠀interpersonal⠀skills.
  • Strong⠀analytical⠀and⠀problem-solving⠀abilities.
  • Ability⠀to work⠀independently⠀and⠀collaboratively⠀with⠀cross-functional⠀teams.
  • Proficiency⠀in⠀corporate⠀governance⠀software⠀and tools.
